1. Who we are

SOGO Terminal ("SOGO", "we", "our") is operated by INFINITE WEALTH OÜ, a private limited company incorporated in Estonia, registry code [●], registered address [●] ("the Operator"). Contact: legal@sogoterminal.com.

2. What SOGO is — and what it is not

SOGO is a software interface (a "terminal") that lets you submit orders to the Hyperliquid protocol from Telegram and related interfaces, together with informational tools.

SOGO is not an exchange, broker, custodian, wallet provider, asset manager, or investment adviser. We do not execute trades on our own books, hold client assets, or provide financial advice. All trades execute on the Hyperliquid protocol, which we do not operate or control. SOGO is an independent builder and is not affiliated with or endorsed by Hyperliquid.

4. Eligibility and jurisdictional responsibility

By using SOGO you represent and warrant that:

  1. You are at least 18 years old and have full legal capacity;
  2. Trading leveraged perpetual derivatives is lawful for you in your jurisdiction, and you are solely responsible for confirming this before use;
  3. You are not located in, or a resident or citizen of, any jurisdiction on our Restricted Jurisdictions list [● — schedule to be finalized with counsel; expected to include at minimum the United States and other jurisdictions where retail crypto derivatives are prohibited];
  4. You are not subject to sanctions administered by the EU, UN, or other applicable authorities;
  5. You are acting for your own account, not on behalf of another person.

We may use technical measures to restrict access from Restricted Jurisdictions and may refuse or terminate service where we believe these representations are untrue.

5. Beta software; no warranty

SOGO is beta software provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-interruption. Features may change, break, or be discontinued. We do not warrant that orders will be executed, executed timely, or executed at any particular price. Blockchain networks, the Hyperliquid protocol, and Telegram are third-party systems outside our control, and we are not liable for their failures, congestion, forks, exploits, or downtime.

6. Fees

SOGO earns a builder fee attached to orders routed through the terminal, settled on-chain via Hyperliquid's builder-code mechanism. The current default fee is 2.5 basis points (0.025%) of traded notional. Certain programs (e.g., partner-referred access, copy-trading, or high-touch tiers) carry different fee levels, always within Hyperliquid's builder-fee cap and always disclosed in-product and in our published fee schedule at [● URL]. Fees are deducted via the protocol at execution and are non-refundable. Hyperliquid's own protocol fees and funding payments apply independently of us. We may change our fee schedule prospectively with notice via our official channels.

7. Your responsibility for trading decisions

All trading decisions are yours alone. You bear full responsibility for all orders submitted through your account, all resulting profits and losses, and all tax obligations. Leveraged perpetual contracts are high-risk instruments; you can lose your entire margin. You acknowledge the separate Risk Disclosure, which forms part of these Terms.

8. AI copilot — informational only

The AI copilot provides educational market context and general risk-sizing frameworks. It is not financial, investment, legal, or tax advice, is not personalized to your circumstances, may be inaccurate or incomplete, and must not be relied upon for trading decisions. You interact with an automated AI system, not a human adviser.

9. Points

Points are promotional loyalty units earned through platform usage. Points have no monetary value and no promise of value. They may convert to future perks; any conversion is discretionary, may never occur, and is subject to applicable law. Points are non-transferable and may be adjusted or revoked in cases of abuse, manipulation, or breach of these Terms.

10. Prohibited use

You must not: (a) use SOGO for market manipulation, wash trading, or fee/points farming through self-dealing; (b) violate sanctions, AML, or other applicable laws; (c) misuse, probe, or attack our systems; (d) misrepresent SOGO, promise returns, or market the service deceptively (including as a referral partner); (e) use SOGO from a Restricted Jurisdiction or circumvent access controls; (f) infringe third-party rights.

11. Suspension and termination

We may suspend or terminate your access, decline to route orders, or deactivate agent keys at any time, with or without notice, including for suspected breach, legal compliance, or security reasons. You may stop using SOGO at any time and revoke your agent key on-chain, which terminates the service relationship for your account. Sections that by their nature survive (liability, indemnity, governing law) survive termination.

12. Limitation of liability

To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, consequential, or punitive damages, lost profits, or lost trading opportunities; (b) our total aggregate liability arising out of or relating to the service is limited to the greater of the builder fees you paid to us in the 12 months preceding the claim or EUR 100 [● cap structure for counsel]; (c) nothing in these Terms excludes or limits liability that cannot be excluded under mandatory Estonian or EU law, including liability for intentional breach or gross negligence.

13. Indemnity

You will indemnify and hold the Operator harmless from claims, damages, and costs (including reasonable legal fees) arising from your breach of these Terms, your violation of law, or your trading activity.

14. Changes to these Terms

We may update these Terms prospectively. Material changes will be announced via our official channels with the new effective date. Continued use after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Estonia. Disputes shall be resolved by Harju County Court, Tallinn, Estonia [● counsel: confirm venue vs arbitration; mandatory consumer forum rules for EU consumers apply]. If you are an EU consumer, mandatory consumer-protection provisions of your country of residence remain unaffected.

16. General

If any provision is invalid, the remainder stays in force. These Terms, the Privacy Policy, the Risk Disclosure, and any program-specific supplemental terms (e.g., copy-trading, partner program) form the entire agreement. We may assign these Terms in connection with a corporate reorganization; you may not assign them.

We do not collect your seed phrase or wallet private keys — ever. We do not use third-party advertising or tracking cookies; the signing page runs a strict no-third-party policy.

We do not sell personal data and do not use it for third-party advertising. No automated decision-making producing legal effects is performed; the copilot is informational only.

4. Blockchain data — important

Wallet addresses, approvals, and trades are recorded on the public Hyperliquid blockchain by design. Public blockchain records are decentralized and cannot be altered or erased by us. Erasure rights apply to data under our control (our databases and logs), not to on-chain records.

5. Sharing and processors

We share data only with infrastructure processors necessary to run the service: hosting and deployment providers (currently Railway; Netlify for the signing page), our AI infrastructure provider (Anthropic, for copilot messages), and Telegram as the messaging platform you use to reach us. Processors act under data-processing agreements. We may disclose data where legally required (courts, authorities). [● counsel: confirm processor list + DPAs.]

Under the GDPR you may request: access, rectification, erasure (see Section 4 limits), restriction, portability, and objection to legitimate-interest processing; and you may withdraw consent at any time. Contact privacy@sogoterminal.com. You may lodge a complaint with the Estonian Data Protection Inspectorate (Andmekaitse Inspektsioon) or your local supervisory authority.

9. Security

Measures include encryption of agent key material at rest, access controls, rate limiting, monitoring with exfiltration detection, and adversarial review of our signing flow. No system is perfectly secure; report concerns to security@sogoterminal.com.

10. Children

SOGO is not directed at persons under 18, and we do not knowingly process their data.

11. Changes

We will post updates with a new effective date and announce material changes via official channels.

Read this before trading. Perpetual futures are high-risk instruments. You can lose everything you deposit.
  1. Leverage amplifies losses. Perpetual contracts let you control positions larger than your margin. Small price moves against you can cause liquidation of your entire margin. Losses occur fast, including outside your local waking hours.
  2. Total loss is possible. Only trade with funds you can afford to lose completely. Never trade with borrowed money or funds needed for living expenses.
  3. Market risks. Crypto markets are extremely volatile and trade 24/7. Funding rates, slippage, thin liquidity, price gaps, and oracle issues can all worsen outcomes beyond what you expect.
  4. No advice. Nothing provided by SOGO — including the AI copilot, statistics, dashboards, or any content — is financial, investment, legal, or tax advice. The AI copilot is an automated educational tool: it provides general market context and risk-sizing frameworks, can be wrong or outdated, does not know your circumstances, and must not be relied upon for decisions. Consider independent professional advice.
  5. Past performance means nothing. Historical results — of any market, strategy, or trader — do not predict future results. Any trader statistics shown in the product are historical facts, not recommendations.
  6. Non-custodial responsibility. You control your wallet. If you lose your seed phrase or it is stolen, your funds are gone and nobody — including us — can recover them. We will only ever ask you to sign at sign.sogoterminal.com; anything else is phishing. We never DM first and never ask for keys.
  7. Agent key risk. The trading key you approve cannot withdraw your funds. However, if our systems were compromised, unauthorized trades could theoretically be placed on your account before you revoke the key. Monitor your positions and revoke immediately if anything looks wrong. The key's automatic expiry limits this window.
  8. Technology risk. SOGO is beta software. Bugs, downtime, missed or delayed orders, and integration failures can occur. The Hyperliquid protocol, blockchain networks, and Telegram are outside our control and carry their own risks, including smart-contract exploits and outages.
  9. Regulatory risk. The legal treatment of crypto derivatives varies and changes. The service may become restricted or unavailable in your jurisdiction. You are responsible for the legality of your own use.
  10. Points and any future token. Points have no monetary value and no promise of value; they may convert to future perks, or never convert at all. Do not trade, or make any decision, based on expectations about points or any token.
